Terms of Service

By using the AdShare website (including its associated domain names, web hosting and other online infrastructure), you signify that you have read, understand and agree to be bound by these Terms of Service and the AdShare website Privacy Policy. If you do not agree to abide by these or any future Terms of Service, you are not permitted to use or access the AdShare website or related AdShare services.

If you are determined by AdShare's administrators to have violated these Terms of Service, your account will be terminated and you will be permanently banned from AdShare and its related services. AdShare's administrators have no obligation to provide prior notice or to supply an explanation. You acknowledge that your use of this website is at your own risk.

Definitions. "AdShare / We / Us / Our" relates to Lione Ltd trading as AdShare. "User / You / Your" - Anyone using the AdShare website.

Restrictions. The AdShare website is intended solely for persons who are sixteen (16) years of age or older. Any registration by, use of, or access to the AdShare website by anyone under sixteen (16) years of age is unauthorised and in violation of these Terms of Service.

Copyright: Website Design. You acknowledge that AdShare owns all rights, title and interest in all AdShare branding and navigational content on the AdShare website, including (but not limited to) the AdShare logo, text, graphics and files, and AdShare's selection and arrangement (the "Content"), and you agree not to modify, copy, distribute, frame, republish, display, post, transmit, or sell the Content, except as may be expressly permitted by AdShare. You may not republish the Content or incorporate the information into any database or compilation.

Trademarks. All trademarks, logos, trade dress and service marks on the AdShare website are trademarks of their respective owners or AdShare and may not be copied, imitated, or used, in whole or in part, without express written permission.

Third-Party Sites. The AdShare website contains links to other websites operated by unrelated parties. These website links are provided for your convenience and reference only. AdShare does not control these sites and is not responsible for their contents. Our inclusion of these links does not imply any association with these sites or any endorsement or approval of the services, merchandise, materials or contents available from or on these sites. By accessing third-party sites via the AdShare website, you do so at your own risk. You should review the terms and privacy policies of these sites, as they may differ from ours. We do not control or review the usage terms or privacy practices of third-party sites.

Endorsement. AdShare contains descriptions of or references to products, services, and firms. These references do not imply our endorsement of those products, services or entities. Under no circumstances shall any of our providers be liable for any loss or damage caused by a user's reliance on or exposure to information obtained from or contained on AdShare. You are responsible for evaluating the information and other content available through the AdShare website, and any products, services or firms referenced.

Affiliates. The AdShare affiliate program is completely free to join, with no membership fees or ongoing costs. By referring new advertisers, you can get paid 20% commissions for every sale that you generate. (For example, a $100 purchase by an advertiser referred by you will generate a $20 commission for you.) You can also get paid 10% commissions for every sale that your referrals generate. (For example, a $100 purchase by an advertiser referred by your referral will generate a $10 commission for you.)

Commissions. AdShare affiliate commissions for special offers, discounts and sale prices may vary. Commissions may be held to prevent fraud. After the holding period, the full amount will be released and made available in your account ready for cashout. Full affiliate commissions will only be paid when sufficient income has been received. The commission total may be minus any reversed or refunded sales. All commissions are audited and payments will not be sent if AdShare' administrators have any reason to suspect fraud.

Advertising. AdShare is a family safe network. We reserve the right to reject any advertising campaign containing, or linking to, pornography, nudity, sexuality, spam, hate, racism, copyright infringement, illegal activities or illegal software. This includes (but is not limited to) websites containing adult related products or services. AdShare do not accept adverts promoting cigarettes, e-cigarettes, vapour or other related products. We also reserve the right to refuse any link that redirects to different web address, has heavy amounts of advertising, breaks out of frames, contains pop-ups or resizes to fullscreen.

Previews. If your website can not be loaded in frames, a preview image may be displayed instead. The preview image will be a clickable screenshot which will enable users to view your website in a new browser tab, where they will be able to surf your website as normal.

Complaints. AdShare is not responsible for the content, management, honesty or uptime of websites, apps, products or services advertised within the AdShare game or elsewhere on the AdShare website. You agree to visit, invest or take part in other activities at your own risk. However, following a complaint made to AdShare, we reserve the right to remove and/or blacklist any website or link, with no compensation to the advertiser for remaining unused advertising credits or time purchased. This includes (but is not limited to) the reasons listed in Advertising, criminal behaviour or unacceptable activities.

Prohibited Activities. You are prohibited from artificially generating, or hiding/masking the true source of, traffic, hits, impressions, clicks, visitors, visits or any other interactions, by any means, to any AdShare image, link or website. Sources are accepted, approved, credited, blacklisted, blocked and/or redirected solely at the discretion of AdShare' administrators. Usage limits are in place to protect resources and to prevent system abuse.

Products and Services. AdShare products and services will only be supplied following receipt of full payment via PayPal. All of AdShare' products and services include advertising. If for any reason other AdShare features become unavailable, you agree to accept the AdShare product or service as an advertising purchase.

Information. By joining AdShare you agree that your non-identifiable information (member number, etc) may be published on the AdShare website and elsewhere.

Abuse. AdShare has a zero tolerance policy towards abuse of any kind. Any person found to be sending unsolicited messages (spam) by any means, including (but not limited to) email messages, forum posts and text messages will have their account deleted. Furthermore, any person that sends threatening, offensive, spam or otherwise abusive messages to our staff, members and/or advertisers will have their account permanently deleted.

Refunds. Due to the nature of our service refunds are generally not available. However, we will work with advertisers independently, on a case by case basis, to resolve any issues.

Inactive Accounts. If you have not logged in to AdShare for 3 months (90 days) your outstanding unclaimed affiliate commissions will be removed from your account. If you have not logged in to AdShare for 1 year (365 days) your upline sponsor (the person that referred you) will be unassigned and any direct referrals (advertisers you have referred will be permanently dissociated from your account. If you have not logged in to AdShare for 18 months (547 days) your account will be locked and scheduled for deletion, plus all your earnings will be reset to zero. If you have over 50 unused visitors and haven't logged into AdShare for 50 days, then you are at risk of losing your visitors. Members that don't log in after 50 days will be sent 5 weekly email reminders. Members that still don't log into AdShare after 5 email reminders will lose all of their visitors, even if they purchased them.

Payments. You must have a minimum of $5.00 USD (five US dollars) in new affiliate commissions, or $10.00 USD (ten US dollars) in sold Link Credits, each time you wish to withdraw (cashout) your earnings. Payment from AdShare can be requested once per 30 days. A maximum of $500.00 USD (five hundred US dollars) can be requested per cashout withdrawal. All requests must be manually audited, which can take up to 30 working days. Cashout limits are in place to ensure that funds are always available. Affiliate payments are sent in USD via PayPal, or in USD equivalent via Coinbase. It is your responsibility to submit a valid payment PayPal email address or a valid cryptocurrency address when requesting your payment. Invalid cashout requests (including, but not limited to, incorrect payment details submitted or Prohibited Activities linked to your account) will result in non-payment.

Taxes. It is your responsibility to determine what, if any, taxes apply. It is solely your responsibility to assess, collect, report, or remit the correct tax to the relevant tax authorities. AdShare is not obligated to, nor will AdShare determine whether taxes apply, or calculate, collect, report, or remit any taxes to any tax authority arising from your use of AdShare.

Service. You acknowledge that this service can be revoked at any time for any reason AdShare's adminstrators see fit with no obligation to provide any form of compensation for products/services purchased. Although we make a reasonable effort to provide a high quality service, we do not provide any warranty and make no guarantees of any kind regarding the dependability, accuracy, uptime or timeliness of this service.

Liability. AdShare is not responsible for any incorrect or inaccurate Content posted on the AdShare website regardless of the cause or source, or for the conduct, online or offline, of any user or other user of the AdShare website. We also assume no responsibility for:


Under no circumstances will AdShare be responsible for any loss or damage incurred or resulting from anyone's use, including your use, of the AdShare website, any Content posted on the AdShare website or communicated to users, or any interactions between users of the AdShare website, online or offline. ADSHARE AND THE CONTENT ARE PROVIDED "AS-IS" AND ADSHARE DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

IN NO EVENT WILL ADSHARE BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS AND LOST DATA), OR FOR ANY DAMAGES IN EXCESS OF THE AMOUNT PAID BY YOU TO ADSHARE, ARISING FROM YOUR USE OF ADSHARE, REGARDLESS OF THE CAUSE (INCLUDING NEGLIGENCE) AND EVEN IF ADSHARE WAS AWARE THAT SUCH DAMAGES MIGHT OCCUR. Some US states limit or prohibit the limitation of liability in certain cases, so these limitations may not apply to you.

You agree to indemnify and hold AdShare and its owners, subsidiaries, users, officers, agents, partners and employees harmless from any damage, liability, claim, or expense (including attorneys' fees) arising out of or in connection with your use of the AdShare website, your violation of these Terms of Service, or your violation of the rights of a third party or any law.

These Terms of Service, and the accompanying Privacy Policy, constitute the entire agreement between you and AdShare regarding the use of the AdShare website and supersede any prior agreements between you and AdShare on the same subject. AdShare's failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. If any provision of these terms is held invalid, the remaining terms shall continue in full force and effect.

Disputes. If there is any dispute about or involving AdShare you agree that the dispute will be governed by the laws of the United Kingdom, as they apply to residents within the country of England. You also agree to the exclusive jurisdiction and venue of the courts of England and waive all defenses of lack of personal jurisdiction or that the forum is not convenient, except that AdShare may bring suit against you in any court that has jurisdiction over your person or property. Any cause of action by you with respect to the AdShare website or its owners must be instituted within 180 days after cause of action or be forever waived and barred.

Revisions. We may change these Terms of Service from time to time (for example, if the law changes). Any changes will be immediately posted on this page and AdShare website users will be deemed to have accepted the terms of the Terms of Service on their first use of the AdShare website following the alterations.
